Terms of service

Ninja Agency provides digital advertising services and gives clients and their teams access to Ninja Panel, a web application for managing advertising on Meta platforms (Facebook, Instagram, Messenger and the Audience Network) through the official Meta APIs. The scope, fees and duration of paid services are set out in the proposal or agreement with each client.

Ninja Panel is intended for businesses and their authorised staff. Accounts are created by invitation. You must be at least 18 years old and authorised to act on behalf of the business you represent.

• Keep your login details confidential and do not share accounts.
• You are responsible for actions taken with your account.
• Tell us immediately at [email protected] if you suspect unauthorised use.
• We may suspend access to protect the security of the service or other users.

When you connect a Business Manager or share assets with us, you confirm that you are authorised to do so and that you may grant us the access required. You can revoke access at any time in Meta’s settings or inside Ninja Panel. Your Business Manager, ad accounts, Pages, pixels and other assets remain your property.

You agree to:

• comply with the Meta Terms of Service, Advertising Standards, Commercial Terms, Platform Terms and all applicable laws, including consumer protection and data protection law;
• ensure you have the rights to all content, trademarks and data you provide, and a valid legal basis (for example consent) for any customer data used in custom audiences or collected through lead forms;
• not use the service for unlawful, misleading, discriminatory or harmful advertising;
• not attempt to access data you are not authorised to see, disrupt the service, or reverse engineer it.

Ad spend is billed by Meta directly to the payment method on your ad account; we are not responsible for Meta’s charges. Our fees, invoicing and payment terms are set out in your proposal or agreement. Unless agreed otherwise, invoices are due within 14 days.

The service depends on Meta’s platforms and APIs, which Meta may change, limit or suspend. Ad review, delivery, costs and results are determined by Meta. We cannot guarantee that ads will be approved or achieve specific results, and we are not responsible for decisions taken by Meta, including account restrictions.

We retain all rights to Ninja Panel, our website and our know-how. Creative work produced specifically for you becomes yours once paid for, unless agreed otherwise. You grant us a licence to use the content you provide solely to perform the services.

We process personal data as described in our privacy policy. Where we process personal data on your behalf (for example leads or customer lists), we act as your processor and process it only on your documented instructions; a data processing agreement is available on request and forms part of these terms.

We aim to keep Ninja Panel available and secure but do not guarantee uninterrupted operation. We may improve or change features; we will give reasonable notice of changes that materially reduce functionality.

Nothing in these terms limits liability that cannot be limited by law, including for intent, gross negligence or injury to life, body or health. Otherwise, our liability for slight negligence is limited to foreseeable damage typical for the contract, and our total liability per year is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect losses, lost profits or for the acts of Meta or other third parties.

Either party may end the use of Ninja Panel in accordance with the client agreement. When access ends, we disable the connection, delete access tokens immediately and delete Platform Data within 30 days, except where the law requires us to keep it. You can request an export of your reports before termination.

These terms are governed by The laws of the Republic of Türkiye; the courts of Istanbul have jurisdiction. Mandatory consumer protection rules of your country of residence remain unaffected.
